The Tabaksblat Code and Net Report

What is the Tabaksblat Code?

The Tabaksblat Code or Dutch Corporate Governance Code states that the broad outline of the corporate governance structure of the company shall be explained in a separate chapter of the annual report, partly by reference to the principles mentioned in the code. In this chapter the company shall indicate expressly to what extent it applies the best practice provisions in this corporate governance code and, if it does not do so, why and to what extent it does not apply them.

 

What are the consequences for an organization that needs to comply?

The Tabaksblat Code contains non-binding principles for governance and is based on the comply-or-explain principle. However, it might not be so voluntary in nature – non-observance could constitute mismanagement and might even warrant the removal from office of non-compliant individual directors in a Dutch company. The code contains a large number of principles and proposals for ensuring good corporate governance.
